Private Label Terms & Conditions
Custom-Branded Products
All private label products are manufactured and labelled specifically for your brand and are therefore considered custom-made goods.
Once production has commenced, orders cannot be cancelled, modified, returned, exchanged, or refunded except in the event of a verified manufacturing defect.
Clients are responsible for reviewing and approving all artwork, labels, product selections, and order details before production begins.
Artwork Approval
Final artwork approval constitutes acceptance of all text, spelling, colours, logos, layout, and product information.
The Skin Consultancy shall not be responsible for errors identified after artwork approval has been provided by the client.
Any costs associated with reprinting labels or re-manufacturing products resulting from client-approved errors will be the responsibility of the client.
Returns & Refunds
Due to the customised nature of private label products:

Returns are not accepted.

Refunds are not available.

Exchanges are not available.

Change-of-mind cancellations are not permitted after production has commenced.
Exceptions may be considered only where products are demonstrably defective as a result of manufacturing error.
Any claims relating to manufacturing defects must be submitted within 7 days of delivery.
Product Performance
Individual results may vary depending on skin type, treatment protocols, product usage, storage conditions, and other factors beyond our control.
No guarantee is made regarding specific commercial outcomes, sales performance, or treatment results.
Clients are responsible for ensuring products are suitable for their intended customer base.
Intellectual Property – Private Label Products
Unless otherwise agreed in writing, all private label formulations, formulation architectures, manufacturing methods, and technical documentation remain the intellectual property of The Skin Consultancy.
The purchase of private label products does not grant ownership of the underlying formulation.
Clients retain ownership of their brand name, logo, packaging design, marketing materials, and associated brand assets.
Customised Formulations Based on Existing Platforms
Where The Skin Consultancy modifies or customises an existing formulation platform for a client, the resulting formulation remains the intellectual property of The Skin Consultancy unless otherwise agreed in writing.
Such modifications do not confer exclusivity or ownership rights to the client.
Bespoke Formulation Development
Where a separate custom formulation development agreement is entered into, ownership rights shall be defined in the relevant project agreement.
Where formulation ownership is transferred to the client:

The client shall own the formulation.

The client may manufacture the product with any contract manufacturer of their choosing.

Exclusivity shall apply only to the specific formulation developed under the agreement.
Additional fees may apply for ownership transfer, formulation documentation, technology transfer, and manufacturing support.
Stability Testing & Product Testing
Unless specifically included in a quotation, formulation development projects do not automatically include:

Stability testing

Accelerated stability testing

Dermatologist testing
-
Patch testing
-
Irritation testing
-
Clinical efficacy testing
-
Consumer studies
These services are available at additional cost and may be quoted separately upon request.
Development Timelines
Estimated timelines are provided in good faith and may be affected by:

Packaging availability
-
Artwork approval delays
-
Regulatory requirements
-
Sample revisions
-
Testing requirements
The Skin Consultancy shall not be liable for delays caused by factors outside its reasonable control.
Minimum Order Quantities
Minimum order quantities may vary depending on:

Packaging selection
-
Label specifications
-
Custom formulation requirements
-
Raw material sourcing requirements
Custom formulation projects may require higher minimum order quantities than standard private label products.
Limitation of Liability
The maximum liability of The Skin Consultancy shall be limited to the value of the products or services supplied.
Under no circumstances shall The Skin Consultancy be liable for indirect, consequential, special, or economic losses including loss of profits, loss of business opportunity, or loss of goodwill.
